Sale Deed

 

This Deed of Sale made on [Date], between:

[Seller's Name], son/daughter/spouse of [Seller's Father's Name], residing at [Seller's Address], hereinafter referred to as the "Seller" (which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include his/her heirs, executors, administrators, legal representatives and assigns) of the ONE PART;

AND

[Buyer's Name], son/daughter/spouse of [Buyer's Father's Name], residing at [Buyer's Address], hereinafter referred to as the "Buyer" (which expression shall, unless repugnant to the context or meaning thereof, be deemed to mean and include his/her heirs, executors, administrators, legal representatives and assigns) of the OTHER PART.

WHEREAS the Seller is the absolute owner of the property described hereunder;

AND WHEREAS the Seller has agreed to sell the said property to the Buyer for a consideration hereinafter mentioned, and the Buyer has agreed to purchase the same.

 

NOW THIS DEED WITNESSETH as follows:

Description of the Property:

Consideration:

The Seller hereby declares that he/she has good right, full power, absolute authority, and lawful and marketable title to the said property and has the right to sell the same. The Seller has also delivered the possession of the said property to the Buyer.

Covenants and Declarations:

The Seller hereby covenants with the Buyer that the said property is free from all encumbrances, charges, liens, and claims whatsoever.

The Seller shall defend the title to the said property against all claims and demands of all persons claiming or to claim the same.

The Buyer shall pay all taxes, rates, and assessments in respect of the said property from the date hereof.

Indemnity:

The Seller shall indemnify the Buyer against all claims, actions, demands, charges, and expenses whatsoever which may arise or be incurred on account of any defect in the title to the said property.

Governing Law:

This Deed of Sale shall be governed by and construed in accordance with the laws of [Jurisdiction], and any dispute arising out of or in connection with this Deed shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

Severability:

If any provision of this Deed is held to be invalid or unenforceable for any reason, such provision shall be deemed to be severed from this Deed, and the remaining provisions shall continue in full force and effect.

Entire Agreement:

This Deed of Sale constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written, relating to such subject matter.
